1.    Appointment and Acceptance

 1.1 SUPPLIER (FREYARA Cosmetics Co. Ltd) hereby appoints its DISTRIBUTOR/WHOLESALER on a basis to purchase and resell the Products in the Territory. DISTRIBUTOR/WHOLESALER accepts this appointment on the terms and conditions set forth herein and obligate itself to the requirements of this Agreement.

 1.2 The term "products" shall mean the SUPPLIER products listed on its OFFIFIAL SITE freyara.com and marked with FREYARA brand name. SUPPLIER reserves the right to delete or hide discontinued products on OFFIFIAL SITE without written notice to DISTRIBUTOR/WHOLESALER. New or additional Products manufactured by SUPPLIER shall be listed on its OFFICIAL SITE.

 1.3 The term "Territory" shall mean the geographic area defined under negotiation. DISTRIBUTOR/WHOLESALER shall not, without the express written authorization of SUPPLIER reexport the Products from the Territory, or sell, service or promote the Products from a location outside of the Territory.

1.4    DISTRIBUTOR/WHOLESALER shall not appoint any subdistributors, subrepresentatives or subagents to sell or otherwise promote the sale of the Products without the express written consent of SUPPLIER.

2.    Prices and Terms

 2.1 The Product wholesale prices listed on OFFICIAL SITE are exclusive of any national, state or local sales, use, value added or other taxes, customs duties, or similar tariffs and fees which shall be the responsibility of DISTRIBUTOR/WHOLESALER.

 2.2 SUPPLIER may adjust the wholesale prices of the Products listed on OFFICIAL SITE due to currency rate change, raw material supply etc., without written notice to DISTRIBUTOR/WHOLESALER. SUPPLIER shall price protect for a period not to exceed one (1) month from the effective date of the price change.  

 2.3 SUPPLIER accepts payment currencies: USD, RMB, EUR, GBP, AUD and CAD through Wire Transfer and PayPal payment methods upon the online order details or invoice.

 2.4 SUPPLIER guarantee DISTRIBUTOR/WHOLESALER info and payment process at OFFICIAL SITE secured.

3.    SUPPLIER Obligations

 3.1 Provides correct price list, product catalogue, product manuals, product images, product specifications and product details at OFFICIAL SITE in English language.

 3.2 Assistance, as needed, to DISTRIBUTOR/WHOLESALER on products and sales problems, training,

 3.3 Consist marketing and branding online and offline, such as social networks, blogs, forums, press release, trade shows, exhibitions etc.

4.    DISTRIBUTOR/WHOLESALER Obligations

 4.1 DO NOT to sell FREYARA products online without SUPPLIER authorization, such as Amazon, eBay, AliExpress or online store, at lower price than price listed on OFFICIAL SITE,

 4.2 Actively promote and penetrate the market for SUPPLIER products in the Territory by online and offline marketing channel.

 4.3 Meet wholesale requirements: more than $5,000 per year and at least one purchase order per half year, or else the DISTRIBUTOR/WHOLESALER account will be deactivated from OFFICIAL SITE.
